• Negotiate and draft organizational documents, including shareholder, LLC and partnership agreements.
• Assist directors and officers with corporate governance and control, including fiduciary responsibility and compliance with regulatory standards.
• Develop employee policy manuals, employment, consulting and non-compete agreements, and other proactive elements of effective employment law counseling.
• Comply with the Uniform Commercial Code (UCC), including loss prevention issues and implementation of internal controls.
